1. Introduction and Acceptance
Welcome to Fieldmatic! These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", "Customer") and Tóth Gergő EV ("Fieldmatic", "we", "us", "our") regarding your use of the Fieldmatic software service ("Service").
Please read these Terms carefully before using the Service.

3. Service Description
Fieldmatic is a Software-as-a-Service (SaaS) field service management platform that provides the following features:
- Scheduling and Calendar Management: Job, appointment and team scheduling
- Customer Management: Customer database, contacts, history
- Digital Work Orders: Work order completion, photos, signatures on mobile and web
- Mobile Application: Native iOS and Android apps with offline functionality
- Invoicing: Generate invoices from work orders, export functions
- Reports and Analytics: Performance tracking, statistics
The detailed functionality of the Service may vary depending on your current subscription plan.
4. Registration and Account Creation
4.1 Registration Requirements
To use the Service, you must register an account. During registration:
- You must be at least 18 years old
- You must provide accurate, true and up-to-date information
- You must provide a valid email address
- You must choose a secure password (minimum 8 characters)
- When registering on behalf of a company or business, you must be authorized to represent that entity
4.2 Account Security
You are responsible for:
- Keeping your account credentials (email, password) confidential
- All activities that occur under your account
- Immediately reporting unauthorized account access
4.3 Account Suspension and Deletion
We reserve the right to suspend or delete your account if:
- You violate these Terms
- We detect suspicious or fraudulent activity
- The Service is abused
- Required by court or regulatory order
5. Subscription and Payment
5.1 Founder's Membership (Lifetime Access)
The Founder's Membership provides lifetime access to the Service with a one-time payment under the following conditions:
- Price: $297 USD (one-time payment)
- Validity: Lifetime (as long as account is active and you comply with Terms)
- Limits: Maximum 50 users, 10,000 customers, 100GB storage / business
- Updates: Free software updates and access to new features
- Support: Priority email and chat support
Fair Use Policy: Founder's Membership can be used within the limits specified above. If your business exceeds these limits (congratulations on the growth! 🎉), we will offer custom enterprise pricing.
5.2 Monthly Subscription (After Launch)
After the Service launch (February 1, 2026), the following subscription model applies:
- Monthly Fee: $49 USD / month / business
- Billing: Monthly, automatic renewal
- Cancellation: Anytime, effective at end of next billing cycle
5.3 Payment Terms
- Payments are processed through Stripe payment service
- Accepted payment methods: Credit card (Visa, Mastercard, Amex), SEPA transfer
- All prices are in USD
- VAT (if applicable) is added to the price
- You will receive an invoice by email after successful payment
5.4 Refund Terms
60-day money-back guarantee:
- You can request a full refund within 60 days of first purchase, no questions asked
- Refund request: hello@fieldmatic.co
- Processing time: 5-10 business days
- Your account will be deleted after refund
5.5 Price Changes
We reserve the right to modify prices. In case of price changes:
- Founder members: Price changes DO NOT affect lifetime access
- Monthly subscribers: We notify them 30 days in advance
- Option to cancel before new price takes effect
6. Software License and Usage Rights
6.1 License Grant
By purchasing a subscription, you receive a limited, non-exclusive, non-transferable license to use the Service under the following conditions:
- Purpose of Use: For your business's internal field service management
- Users: Your own employees, contractors (within subscription limits)
- Geographic Restriction: None (can be used worldwide)
- Duration: While subscription is active
6.2 Usage Restrictions
When using the Service, it is PROHIBITED to:
- ❌ Reverse engineer, decompile, or disassemble the software
- ❌ Copy, modify, or distribute the Service
- ❌ Resell, rent, or lease the Service to third parties
- ❌ Use the Service to create competing products
- ❌ Use automated tools (scraping, crawling) without permission
- ❌ Overload the Service (DDoS, spam)
- ❌ Exploit security vulnerabilities
- ❌ Conduct illegal activities
7. User Content and Data
7.1 Your Content
All data uploaded, created or stored while using the Service ("User Content") remains your property. User Content examples:
- Customer data (names, addresses, phone numbers)
- Work orders, notes
- Uploaded files, photos, documents
- Scheduling data, job roles
7.2 License to User Content
By uploading User Content, you grant us a limited license for the following:
- Storage and Processing: Storing data on our servers, processing for Service operation
- Backup: Creating backups
- Support: Access for technical support (only with explicit permission)
Important: We DO NOT use your User Content for marketing purposes and DO NOT share it with third parties (except as specified in Privacy Policy).
7.3 User Responsibility
You are responsible for:
- Legality of User Content
- Obtaining necessary rights and consents (e.g., GDPR consent from customers)
- Accuracy and currency of data
- Creating backups (we also create backups, but we recommend your own as well)
7.4 Data Deletion
Upon account deletion or subscription expiration:
- User Content will be permanently deleted within 30 days
- Option to export data before deletion (CSV/JSON)
- Accounting data retained for 8 years (legal requirement)
8. Privacy and Security

8.1 Security Measures
We take serious efforts to protect data:
- AES-256 encryption (at rest)
- TLS/SSL encryption (in transit)
- Regular security audits
- Automated backups (daily)
8.2 User Responsibility
You are responsible for:
- Security of account credentials
- Security of your devices (antivirus, updates)
- GDPR compliance (if processing EU citizen data)
9. Intellectual Property Rights
9.1 Fieldmatic Property
The Service and all its components (code, design, content, brand names, logos) are the exclusive property of Tóth Gergő EV and are protected by copyright.
- Source code
- Graphic elements, UI/UX design
- "Fieldmatic" brand name and logo
- Documentation, tutorial videos
9.2 Limited Use
By using the Service, you DO NOT acquire ownership of the software. You only receive a right to use (see: Section 6 - License).
9.3 Feedback
If you share feedback, ideas or suggestions about the Service with us, we may use them freely without compensation or obligation.
10. Service Availability (SLA)
10.1 Uptime Guarantee
Our goal is to provide 99.5% uptime monthly (excluding planned maintenance).
10.2 Planned Maintenance
- Advance notice: minimum 48 hours
- Usually occurs at night (EU timezone)
- Duration: typically max 2-4 hours
10.3 Unplanned Downtime
In case of system failure, overload or other unforeseen events:
- We work on immediate recovery
- Status updates: status.fieldmatic.co (if available)
- Email notification for 1+ hour downtime
11. Third Party Services
The Service may integrate or contain links to third-party services:
- Payment: Stripe
- Email Sending: Postmark / SendGrid
- Analytics: Google Analytics
- Maps: Google Maps API (in mobile app)
Important: These third-party services have their own terms of service and privacy policies. We are not responsible for the operation or data handling practices of third-party services.
12. Limitation of Liability
12.1 "AS IS" Statement
The Service is provided "AS IS" and "AS AVAILABLE" without any express or implied warranties, including but not limited to:
- Guarantee of uninterrupted operation
- Guarantee of error-free operation
- Guarantee against data loss
- Guarantee of fitness for a particular purpose
12.2 Exclusion of Damages
To the fullest extent permitted by law, WE ARE NOT RESPONSIBLE for:
- Indirect, incidental, consequential or punitive damages
- Loss of revenue, decrease in profits
- Data loss or data corruption
- Loss of business opportunities
- Damage to reputation
12.3 Maximum Liability
Our total liability for any claim (breach of contract, negligence or otherwise) SHALL NOT EXCEED the amount you paid in the last 2 months, or $297 USD (whichever is higher).
12.4 Exceptions
This limitation of liability DOES NOT apply to:
- Intentional harm
- Gross negligence
- Cases where liability limitation would be illegal
13. Indemnification
You agree to indemnify and hold harmless Tóth Gergő EV, its owners, employees and partners from any claims, damages, losses or costs (including legal fees) arising from:
- Violation of these Terms
- Infringement of third party rights (copyright, trademark, privacy)
- Illegal activity while using the Service
- Your User Content
14. Termination
14.1 Termination by You
Founder's Membership:
- Account deletion anytime (Settings → Account → Delete)
- Within 60 days: full refund
- After 60 days: no refund, but access remains for lifetime
Monthly Subscription:
- Can be canceled anytime (Settings → Subscription → Cancel)
- Access remains until end of current billing cycle
- No refund for partial month
14.2 Termination by Us
We reserve the right to immediately terminate your subscription and/or delete your account if:
- You violate these Terms
- Abuse or fraud occurs
- Failure to meet payment obligations (monthly subscription)
- Conducting illegal activities
- Long-term (6+ months) non-use of Service (inactive account)
In case of termination:
- We will send notification by email (if possible)
- We provide 30 days to export data
- User Content permanently deleted after 30 days
15. Disputes and Governing Law
15.1 Governing Law
These Terms shall be interpreted and governed by Hungarian law.
15.2 Dispute Resolution
In case of disputes, we first strive for peaceful resolution:

- Mediation: If no agreement, we involve a mediator
- Court Proceedings: As last resort, courts at our registered office have exclusive jurisdiction

16. Changes to Terms
We reserve the right to modify these Terms from time to time. In case of changes:
- Notification: Email 30 days before change (for significant modifications)
- Effective Date: 30 days after posting new version
- "Last Updated" Date: Updated at top of page
- Acceptance: Continued use of Service constitutes acceptance of new Terms
If you do not agree with new Terms, you may cancel your subscription before they take effect.
17. Miscellaneous Provisions
17.1 Entire Agreement
These Terms (together with Privacy Policy) constitute the entire agreement between you and Fieldmatic regarding use of the Service.
17.2 Severability
If any part of these Terms is found invalid or unenforceable, the remaining parts shall remain in effect.
17.3 Waiver
Failure to immediately enforce action for a violation does not constitute waiver of our rights for later enforcement.
17.4 Assignment
You may not assign your rights or obligations without our written consent. We may assign our rights in case of corporate reorganization, merger or acquisition.
17.5 Force Majeure
We are not responsible for delays or failures to perform due to unavoidable external causes (natural disaster, war, terrorist attack, pandemic, internet service outage, etc.).
17.6 No Agency Relationship
These Terms do not create a partnership, joint venture or employment relationship between us.
